Background

Partner is the Israeli side of the Orange affair, and the facts here are the mirror image of our Orange page. Partner was never owned by Orange S.A.: from 1999 it merely licensed the Orange brand while remaining an independent Israeli operator based in Rosh HaAyin. When Orange's CEO said in Cairo on 3 June 2015 that he would end the arrangement "tomorrow morning" if he could, the row that followed was diplomatic, not corporate — Orange never boycotted anything, its CEO flew to Jerusalem on 12 June and said Orange "has never supported and will never support any kind of boycott against Israel", and on 30 June the two companies agreed a paid wind-down. It was Partner, not Orange, that pulled the trigger: on 5 January 2016 Partner exercised the termination right, and on 16 February 2016 it replaced the Orange name with its own — collecting up to about €90 million from the French group in the process. Nine years before schedule, the Israeli company ended up better capitalised and with its own brand. Since then Partner has been an ordinary Israeli mobile operator: its 2023 disclosures show about NIS 2.2 million of social spending including an IDF-linked organisation and a war-related employee volunteering programme, and it estimated the war cost it NIS 5–10 million a month in lost roaming profit. It is listed as entry 121 in the UN OHCHR settlement-business database over services to West Bank settlements — the same activity that had made it the target of the campaign against Orange in the first place.

From 1999 until 16 February 2016 Partner marketed all of its products and services in Israel under the "Orange" brand, licensed from France's Orange S.A. The arrangement was a brand licence only, running in Partner's favour: Orange never held shares in Partner and did not operate a mobile network in Israel, and Partner was at all times an independent Israeli company. The licence had originally been set to run until 2025.

Partner announced on 5 January 2016 that it was exercising its right to terminate the brand-licence agreement with Orange, ending the 17-year arrangement nine years before it was due to expire. The termination followed the framework the two companies had agreed on 30 June 2015 after Orange CEO Stéphane Richard said in Cairo that he would end the Israeli arrangement "tomorrow morning" if contracts allowed. Under that framework Orange pays Partner €40 million in instalments plus a further €50 million once the licence ends — up to about €90 million (roughly $100 million). The money flows from the French licensor to the Israeli licensee as contractual compensation; it is not charitable giving, and it is the same transaction recorded from the other side on our Orange page.
